Terms & Conditions

  1. Payment Schedule
    1. Impress 51 requires payment for website development and associated optional extras in stages throughout the course of the project:
    2. If the full quoted amount is over £500, 50% will be invoiced, and must be paid, before commencement of work. This is a deposit, and is therefore non-refundable. If the full quoted amount is £500 or less, the full amount is due before any work commences, and is non-refundable. When we have received your first payment, we will assume that you have agreed to these terms and conditions, even if you have not signed and returned them to us.
    3. Your website build will begin upon agreement of the design mock-up. We will require all content and images for your website at that stage, before we start the build in order to be as efficient as possible with our workflow. You will, of course, be able to adjust both text and images at a later date, should you wish to.
    4. The remaining 50% of the website fee will be due when the website is complete and goes live. Payment must be received within 30 days or we reserve the right to temporarily disable the website and email addresses until payment is received. Impress51 will retain the copyright of all materials until the full quoted amount has been settled. If the website will not be hosted on our servers, the full quoted amount must be settled before we install the website into your hosting package.
    5. After we have built your website but prior to making it live, you will be able to request any design tweaks or content changes, based on that first stage of build. We require these changes to be provided within 1 month of the first draft build being completed. The remaining 50% of your website fee will become due 6 months after the completion of the first draft build even if you are not able to provide those adjustments. On payment of that final invoice, we will then make your website live with the content provided for the first draft, if you are in agreement that it is ready to be made live.
    6. Web technology moves at a rapid pace. Should you take a long time to provide content at any stage of your website development, there is a possibility that technology changes may mean that our initial work will need to be updated for security or best practice. Should this be the case, we reserve the right to charge a fee in order to bring the website software up-to-date again. This fee is at the discretion of Impress51 and must be settled, along with any outstanding invoices before work will recommence.
    7. When we say ‘payment is received’, we mean payment must have cleared through our bank account.
  2. Hosting Uptime
    1. Like all web servers, we strive to ensure that your website and email are available at all times, but there are of course occasions when servers go down. Our server guarantees uptime which is generally well above 99.9%. In a rare instance where sites may experience more than 0.1% downtime in a given month an appropriate account credit will be issued. This is at the discretion of your account manager, and must be claimed within 10 days of the observed outage. The service level will be based on server reports, and not any third party monitoring software.
  3. Annual renewals
    1. Hosting and domain registration fees are renewable every year for as long as you’re with Impress51. Our automated systems will remind you of your renewal expiry dates 30 days before they are due, it is your responsibility to inform us within this time whether you would like to renew or cancel your service. If we do not hear from you or cannot contact you up to 48 hours before your renewal date there is a risk of services being removed permanently.
    2. If you have confirmed that you would like to renew your services you will receive an invoice that must be paid within 30 days of the invoice date, if it is not paid within this time your services will be suspended.
    3. If you decide to cancel your services it is your responsibility to ensure that you have taken any necessary back ups.
    4. Any other annual services related to your website will be invoiced under the same terms.
    5. Our hosting and domain fees are as follows:
      • Simple hosting: £90 per year (includes 5 GB to be shared between your website and up to 10 email accounts)
      • Business hosting: £165 per year (includes 10 GB to be shared between your website and up to 20 email accounts)
      • Premium hosting: £275 per year (includes 20 GB to be shared between your website and up to 40 email accounts)
      • Further space can be purchased upon request
      • .com domains: £14 per year
      • .co.uk domains: £12 per year
      • Other domain names are available – please enquire for prices
      • SSL certificate: free of Charge with all hosting accounts
    6. Our server is a Virtual Private Server – this means that we own the server and have full control over its settings and can tune your website to perform optimally. This means that your hosting is not on a shared server and will therefore not suffer from any of the associated problems (please enquire for more details)
  4. Domain and Hosting Account Transfers
    1. Please read this in full ahead of any domain or hosting transfer.
    2. We will be very happy to transfer your domain or web hosting to your Impress51 account, and can help you carry out that process as part of our customer service. There are a few things to beware of, however, which we need your approval for before we go ahead.
    3. Transfer fees are as follows:
      • .co.uk: £40 (includes 2 x IMAP email accounts which are less than 1 GB each and, if required, website transfer if possible) - this service is free if we are building your website, the same limits apply.
      • .com: £40 includes 2 x IMAP email accounts which are less than 1 GB each and, if required, website transfer if possible) - this service is free if we are building your website, the same limits apply.
      • Other domain names can be transferred – please enquire for prices.
      • Any additional IMAP email accounts or other types of email accounts will be quoted on a per account basis.
    4. You may wish to transfer Contacts and Calendars – please enquire for further details (we cannot guarantee that this is possible but will investigate on a per account basis).
    5. We will always ask for your account details in writing, so that we have a record of your email. If you don’t wish to submit this info electronically, that is no problem, let us know and we’ll make an alternative arrangement.
    6. We will require your written confirmation stating that you are happy for us to proceed with the transfer and have agreed to the transfer terms as stated in our transfer agreement.
  5. The important bit
    1. When you send us your authorisation to proceed, you are telling us that you are ready. Here are a few things to think about just to make sure you are actually ready:
  6. Your old website
    1. If you have a website on a hosting account that is being moved, it will be erased from your old hosting when the move begins. If you no longer need it, that is fine. If you would like a copy for posterity, it will need to be copied before your hosting is transferred. It is your responsibility to perform a back up unless you instruct us otherwise.
  7. Your emails
    1. Like the website, these will be deleted from your old hosting. It is your responsibility to perform a back up unless you instruct us otherwise.
    2. Here are the key things to consider:
      • Webmail: If you use webmail, these emails don’t exist anywhere other than on your current host’s server. We recommend that you use an email client such as Mozilla Thunderbird to download all of your emails to your computer before cancelling your hosting account. You should do this as an ‘IMAP account’ and then copy all emails over to local folders so that they are all stored locally.
      • Email Software (IMAP): If you use an email client like Mail or Thunderbird, but have the account set up as an ‘IMAP’ account, it is all stored on the remote server. You should copy all of the emails from your IMAP account to a local folder so they remain once the hosting account is switched off.
      • Email Software (POP): These emails are theoretically saved on your computer, however we cannot guarantee that this will be the case. If you are at all unsure, we recommend copying emails into local folders before you give us the go ahead.
      • Your address book: If this is stored as part of your webmail facility, and you would like to take it with you, you will need to export it from your existing host. Platforms vary, but look for a ‘CSV’ or Vcard style export option. This may then be possible to import in to your new hosting. We cannot guarantee this, but having an exported version is an excellent place to start.
      • Your calendar: If this is stored as part of your webmail facility, and you would like to take it with you, you will need to export it from your existing host. Platforms vary, but look for a ‘CSV’, ‘iCal’ or ‘ics’ style export option. This may then be possible to import in to your new hosting. We cannot guarantee this, but having an exported version is an excellent place to start.
    3. Our Transfer Service: If you have booked assistance for a domain or email transfer, we will do our best to ensure a smooth transition. Please remember that due to the complicated nature of different web servers, we can make no guarantees on our ability to transfer all data, or the time it will take to do this. Some hosts store data in ways which are proprietary, and will not allow us to migrate data out.
    4. In no event shall Impress51 be held liable for lost or missing data as part of the transfer process – it remains your responsibility to back up both web content and email content.
  8. Any Other Business
    1. Hosting accounts can store other interesting things. It might be files that your old website has uploaded - e.g. forms and form submissions, images that have been stored online or any other content. It might be something that we haven’t thought about. We would recommend that you have a really good think, and call us if you are at all unsure, as once the process is started, we cannot do anything to recover data from your old hosts if they have cleared their servers.
    2. Any data that you do not backup or request us to migrate will be lost after the server move has completed. In no event shall Impress51 be held liable for lost or missing data if you have not informed us about its existence.
  9. Email Setup
    1. You can access your emails through our webmail service, alternatively our server allows you to connect to your email account via IMAP using a desktop program such as Thunderbird or through your phone. We will provide IMAP settings to you upon request and can configure desktop programs or mobile devices on your behalf – please enquire for prices.
    2. For security purposes we only support email clients that are compatible with TLS1.2 or higher, this may mean that some older email clients or devices may not be able to connect to our server. Should this be the case with your chosen software, we can assist you to upgrade, and our webmail service is available at any time and from any web browser.
  10. Amendments (bespoke website design clients only)
    1. To reduce the amount of time spent on amendments to your bespoke design, we will ask you to provide a detailed brief before work commences – this can be done with a face-to-face meeting, over the phone or by email.
    2. Before building the website template we will send you up to two JPG mock-ups of our proposed design, which are based on the information provided by you during the briefing process. We include three rounds of revisions to this mock-up in the website design package fee, and any further amendments will be charged at £40 per hour.
  11. Copyright and Ownership
    1. You will own your domain, and copyright of the website text.
    2. If you bought a bespoke website design package you will retain copyright of the website’s design as well as its content.
    3. Impress51 cannot take responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.
    4. The website and graphics relating to the website remain the property of Impress51 until all outstanding accounts are paid in full.
    5. Any code or software used for the purposes of the website are provided solely for the purposes of the site and may not be reused or re-sold.
  12. Work Schedule
    1. Impress51 will form a work schedule that is designed to meet client deadlines whilst matching work slot availability.
    2. In accordance with this, the client agrees to make available, as soon as is reasonably possible, all materials required to complete the site to the agreed standard and within the set deadline.
    3. Impress51 will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.
  13. Site Credits
    1. We will place a discreet “Website Design by Impress51” link at the bottom of each page of your website. Some stock images may need to carry image credits. We will let you know if this is the case with any images that we source for you.
  14. On-going Support
    1. Following the build of your website we will provide full training (on one occasion) on how to update content and images and perform backups. Following this we are happy to offer support on minor day to day queries regarding your use of your website within reason. Further alterations or website malfunction due to misuse are not included in our free support and will be charged at £40 per hour.
    2. As with any software your website will require regular updates to ensure security and functionality, we will show you how to perform these updates upon request. We recommend that you carry out a backup prior to starting any of these updates; we will not be responsible if these updates do not complete properly or otherwise adversely affect your website.
    3. If you do not feel comfortable with carrying your own updates out we can either:
      • Carry out the updates as requested at a cost of £40/hour
      • Take up our monthly management package (£175/annually on top of hosting costs). This package includes monthly updates, backups and any security updates as needed.
  15. Responsibilities relating to your services
    1. It is your responsibility to ensure that strong passwords are used for all services and that these are kept securely.
    2. In the unlikely event of your website being targeted by malicious activity we will restore it to the latest clean back up available, it is your responsibility to ensure that regular back ups are taken (this will be demonstrated during your tutorial). We will not be liable or responsible for the recovery of any data not included in the last back up. This service is included in your hosting package.
    3. If your website needs to be restored for any other reason (such as user error) our hosting package will not necessarily cover free restoration, please enquire for further details.
  16. Third Party Software
    1. Some thoughts on software we may use on your new website:
    2. Joomla and its extensions are third party software.
    3. By using software that has already been developed we can save you time in the project, and also save you a great deal of cost. Because we work on the Joomla! platform, which has thousands of pieces of software available, we are able to source almost anything from social media platforms to estate agents to online shops, all making use of professionally developed software already available.
    4. Please note, we have in house developers who can build most things, so if you would like us to quote for developing something unique, just let us know and you can compare the relative benefits
  17. What Are The Risks of using Third Party Software?
    1. We will appraise and test software as much as we can, so will have a pretty good idea of what we are recommending. We will often also know the developers, or have a good professional recommendation before we start the project.
    2. However, the possible risk, and the reason we send this note, is that sometimes the software simply doesn’t achieve what we hope it will. We are often able to chop the code to make it work, and we can also sometimes work with the developers for a ‘fix’.
    3. There can be occasions when this is not possible. In these circumstances we may have to go back to the drawing board and try another piece of software. We will discuss this with you should it be the case, and show you the next option before we change. If there are not further options, we will then have to discuss a bespoke option.
    4. During the website build process should we have to abandon a piece of software, we will only bill you for the direct cost of the software purchase, not for any of the time installing and testing. If there is a charge for the next best option, then you will be charged this at cost, but again, the time and cost of testing, installation and configuration will be included in your original web quote.
    5. Should the functionality simply not be available via a third party, we will deduct the value of that component from your website price, and you can either ask us to develop a bespoke piece of software, or you can ask other developers to work with you. Should you choose the latter, we will always help them out as much as we can.
  18. What are the Implications of using Third Party Software?
    1. All of our websites include a small number of extensions which require ongoing subscription. We currently cover these as part of the website build. We will continue to maintain these subscriptions for as long as they are fit for purpose. In the event of said extensions ceasing to be suitable we will source an alternative and if your site is compatible with the alternative we will update it for free if you are subscribed to our Monthly Management Package. If there is an issue with compatibility we will make you aware of this and give options on the potential costs involved.
    2. Some Joomla extensions that provide additional functionality, require purchase or subscription that will need to be kept current in order to maintain access to support and updates. If your website contains such software we will make you aware at the time of quoting with a breakdown of costs. This cost will need to be covered before the website build can start therefore we will include any initial subscription or purchase costs in your first invoice. We will invoice automatically (at cost) for these subscriptions and you will be responsible for settling them before the renewal date. Please be aware that the third party developers reserve the right to make changes to their pricing model, we will update your invoice accordingly. Please note in the event of a subscription lapsing we cannot guarantee the security, usability and functionality of your website.
    3. We do offer a management package which will be an optional extra within the quote. The package includes Joomla updates, security monitoring, weekly backups to the cloud and updates to free third-party extensions (as per point 18a). This does not include subscriptions that you need to maintain as per point 18b.
    4. If you should not choose to enrol on the management package it will be your responsibility to keep Joomla and its extensions up to date and to complete regular back-ups. We will not be liable for any ill effects caused by an update that you have completed yourself and reserve the right if asked to correct the issue to invoice accordingly. We will also not be liable for any security breaches, interruption to service or loss of business caused by the failure to complete regular updates.
  19. Limitation of Liability
    1. Impress51, its Directors, Employees or affiliates will not be liable for any indirect, consequential, incidental or punitive damages, including loss profits or lost data arising from the use of these services. Impress51’s liability to you or any party claiming through you for any cause whatsoever, regardless of the nature of the claim, is limited to the amount paid for the service over the preceding year prior to the initial action giving rise to liability.
